In addition to the terms and conditions of the privacy policy related to information shared on our website, the following confidentiality terms and conditions for information shared off the website, such as, but not limited to, physical contracts and agreements, applies to you, for the purpose of preventing the unauthorised disclosure of your Confidential Information, as defined below:

Definition of Confidential Information: "Confidential Information" shall include all information or material that has or could have commercial value or other utility in the business in which you are engaged. If Confidential Information is in written form, you shall label or stamp the materials with the word "Confidential" or some similar warning. If Confidential Information is transmitted orally, you shall promptly provide a writing indicating that such oral communication constituted Confidential Information.

Exclusions from Confidential Information: Bupa Arabia's obligations under this Agreement do not extend to information that is: (a) publicly known at the time of disclosure or subsequently becomes publicly known through no fault of Bupa Arabia; (b) discovered or created by Bupa Arabia before disclosure by you; (c) learned by Bupa Arabia through legitimate means other than from you or your representatives; or (d) is disclosed by Bupa Arabia with your prior written approval.

Obligations of Bupa Arabia: Bupa Arabia shall hold and maintain the Confidential Information in strictest confidence for your sole and exclusive benefit. Bupa Arabia shall carefully restrict access to Confidential Information to only certain employees and third parties as is reasonably required and shall require those persons to sign confidentiality agreements themselves. Bupa Arabia shall not, without your prior written approval, use, for your own benefit, publish, copy, or otherwise disclose to others, or permit the use by others for their benefit or to your detriment, any Confidential Information. Bupa Arabia shall return to you any and all records, notes, and other written, printed, or tangible materials in its possession pertaining to Confidential Information immediately if you request so in writing.

Time Periods: The confidentiality terms and conditions shall survive the termination of your Agreement with us and our duty to hold Confidential Information in confidence shall remain in effect until the Confidential Information no longer qualifies as a trade secret or until you send Bupa Arabia a written notice allowing the release of your confidential information, whichever occurs first.
